Introduction and Acceptance

These Terms of Service ("Terms") constitute a legal agreement between you (the user) and AI Driven Tech Sdn. Bhd. (co-developed with Alpha Masterclass Sdn. Bhd.) ("MAV", "we", "us") governing your access to and use of the MAV website and AI marketing automation services ("Services"). By creating an account or using our service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use our Services.

Eligibility

You must be at least 18 years old to use the MAV Services. By registering or using MAV, you affirm that you are 18 or older and capable of entering into a legal agreement. MAV is designed for business advertising and is not intended for personal, household, or underage use.

You are responsible for ensuring the service is legal in your jurisdiction and that you comply with all local laws when using MAV.

Account and User Responsibilities

Account Registration

You must provide accurate, up-to-date information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

Content Responsibility

You retain ownership of content you upload but grant MAV a worldwide, non-exclusive license to use, modify, and display your content solely to operate the service and create your marketing materials. You must only upload content you have rights to use and warrant that you have permission for all materials provided to MAV.

Legal Compliance

You are responsible for the legality of your content and will indemnify MAV against any third-party claims arising from content you provided, such as copyright infringement or illegal advertisement claims.

Permitted Use of Services

We grant you a limited, non-exclusive, non-transferable license to use MAV's platform for creating marketing advertisements, subject to these Terms. MAV retains all rights to its software, AI models, website, and proprietary content. You only receive the right to use the service during your subscription period.

Prohibited Activities

The following activities are strictly prohibited:

Illegal or Harmful Use: Creating ads that are fraudulent, defamatory, obscene, harassing, hateful, or violate any law or rights of others
Intellectual Property Infringement: Using content you don't have rights to, including copyrighted images or text without permission
Security Violations: Attempting to hack, reverse engineer, or disrupt the service, introducing viruses or malicious code
Unauthorized Automation: Using bots or scripts to scrape data or automate actions without authorization
Service Misuse: Using MAV's outputs in ways that violate advertising platform policies or using the service to compete with MAV

MAV reserves the right to suspend or terminate accounts that engage in prohibited conduct.

Integration with Meta and Third-Party Platforms

Authorization

By connecting your Meta (Facebook/Instagram) advertising account, you authorize MAV to access your ad account data and create/manage ads on your behalf through Meta's API.

Platform Compliance

You must comply with the terms of service and policies of all connected platforms. MAV is not responsible for third-party platform availability, performance, or policy enforcement.

Third-Party Costs

You are solely responsible for any costs incurred on third-party platforms (such as Meta ad spend). MAV facilitates ad creation but does not control platform billing.

Payment, Credits, and Subscription Terms

Subscription Plans

MAV operates on a credit-based subscription model. Plan details and pricing are available on our website and incorporated by reference.

Credits Usage

Generating ad content consumes credits from your account. Unused credits do not roll over and expire at the end of each billing cycle.

Billing and Auto-Renewal

Subscriptions auto-renew monthly or annually unless canceled at least 7 days before renewal for monthly plans or 30 days for annual plans.

No Refunds Policy

All fees are non-refundable, even if you stop using the service mid-term. Refunds may be granted at MAV's sole discretion in exceptional circumstances.

Pricing Changes

MAV may modify subscription fees with advance notice. Changes apply from the next billing cycle, and users may cancel if they disagree with new pricing.

Termination

User Cancellation

You can cancel your account or subscription at any time through account settings or by contacting support.

MAV's Right to Terminate

MAV can suspend or terminate access for violations of these Terms, non-payment, providing false information, or activities that harm our operations or reputation.

Effect of Termination

Upon termination, your right to use the service ceases. We may delete user content after a grace period. Unused credits and prepaid fees are generally forfeited per our no-refund policy.

Intellectual Property Rights

MAV's Intellectual Property

All software, algorithms, design, brand elements, and platform content are MAV's exclusive property. You receive only a limited license to use the service, not ownership rights.

Generated Content Rights

MAV grants you unrestricted, royalty-free commercial usage rights to ads, images, and text content generated via our service. You can use, reproduce, and distribute generated content for your business purposes.

User Content

You retain ownership of your uploaded trademarks, logos, and content. MAV's use is limited to providing the service as described.

Warranties and Disclaimers

The service is provided "as is" and "as available" without warranties of any kind. MAV does not guarantee error-free operation, uninterrupted service, or specific business outcomes.

You are responsible for reviewing all generated content for compliance and accuracy before use. MAV provides tools but does not guarantee ad approval by third-party platforms or campaign success.

MAV disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

MAV will not be liable for indirect, consequential, incidental, or special damages including lost profits, lost data, or business interruption, even if advised of such possibility.

MAV's total liability for any claim is limited to the amount you paid to MAV in the 6 months preceding the claim (or $100 if no fees were paid).

Governing Law and Disputes

These Terms are governed by the laws of Malaysia. Any disputes will be resolved through binding arbitration on an individual basis (no class actions) under Malaysian arbitration rules.

The UN Convention on Contracts for International Sale of Goods does not apply to these Terms.

Changes to Terms

MAV may revise these Terms from time to time. Material changes will be communicated via email or website notice. Updated Terms become effective when posted, and continued use constitutes acceptance.
